Yoegle is a modern consulting studio specializing in the validation, design, development, and integration of digital products and experiences. Our Services include:
Consulting & Strategy: Service Design, Startup Advisory, Design Thinking Workshops.
Design: User Experience (UX) Design, UI, Usability Testing.
Development: Software Development, Web and Product Development, Implementation.
AI Integration: Practical AI adoption, use-case discovery, and implementation into tools and workflows.
Mentorship: Design Mentorship programs.
Specific details, scope, deliverables, timelines, and fees for any project or program will be outlined in a separate Service Agreement, Statement of Work (SOW), or Mentorship Agreement, which will supplement and take precedence over these general Terms.
2. Client Responsibilities
The Client agrees to:
Provide timely, accurate, and complete information, materials, and feedback reasonably requested by Yoegle to perform the Services.
Secure all necessary rights, licenses, and permissions for any third-party materials provided to Yoegle.
Assign a dedicated representative with the authority to make decisions and approve deliverables.
Pay all agreed-upon fees in accordance with the payment schedule outlined in the SOW or agreement.
3. Payment Terms
Fees and Invoicing: All fees for Services are set out in the applicable SOW or agreement. Yoegle will issue invoices in accordance with the agreed-upon payment schedule.
Payment Due Date: Payments are due within [Number] days of the invoice date, unless otherwise specified in the SOW.
Late Payments: Yoegle reserves the right to charge interest on all overdue payments at the lesser of [Percentage]% per month or the highest rate permitted by Law. Services may be suspended until overdue amounts are paid in full.

Client IP: The Client retains all ownership rights, including copyrights, to any materials, data, or intellectual property provided to Yoegle.
Yoegle IP (Pre-existing): Yoegle retains ownership of any pre-existing intellectual property, tools, methodologies, templates, or code (excluding any custom code deliverables) utilized in the performance of the Services.
Project Deliverables (Custom Work): Upon full and final payment of all fees due under the applicable SOW, Yoegle will assign to the Client all ownership rights, including copyrights, in and to the custom-created deliverables developed explicitly for the Client as part of the Services. Yoegle retains the right to use custom work for promotional purposes unless otherwise agreed in writing.
5. Confidentiality
Both parties agree to treat all business, technical, financial, and other information designated as confidential or that a reasonable person would consider confidential, as strictly confidential. This obligation will survive the termination of these Terms and any related Service Agreement.
6. Disclaimers and Limitation of Liability
Warranty: Yoegle warrants that the Services will be performed in a professional and workmanlike manner. Except for this express warranty, Yoegle makes no other warranties, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability: To the maximum extent permitted by Law, Yoegle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorized access, use, or alteration of your content or information.
7. Termination
Termination by Either Party: Either party may terminate an SOW or these Terms by providing [Number] days' written notice to the other party if the other party materially breaches these Terms and fails to cure such breach within the notice period.
Effect of Termination: Upon termination, the Client must immediately pay Yoegle any outstanding fees for Services rendered up to the effective date of termination.
